Data License Agreement

Version 1.1

Effective Date: September 28, 2026

This Data License Agreement (the "Data License Agreement") is a legally binding agreement
between the individual or entity subscribing to a SentiSense Data License plan
("Customer," "you," or "your") and SentiSense Labs LLC doing business as
SentiSense ("SentiSense," "we," "us," or "our").

Acceptance. You accept this Data License Agreement by checking the acceptance box
presented before Data License checkout or upgrade in the SentiSense application.
The individual accepting on behalf of Customer represents and warrants that they have
authority to bind Customer. SentiSense's electronic record of the acceptance,
including the accepting account, timestamp, the plan selected, the Customer Application
identified, any attribution election, and the version and cryptographic hash of the
document presented, is evidence of acceptance absent manifest error.

Relationship to other terms and order of precedence. This Data License Agreement
supplements the SentiSense Terms of Service (https://sentisense.ai/agreement/Terms-of-Service.pdf) (the
"General Terms") and the SentiSense API Terms of Service (https://sentisense.ai/agreement/api-terms/)
(the "API Terms"), both of which continue to apply to Customer's use of the Service and the
API. In the event of conflict, the order of precedence is: (1) the Order, solely for the
commercial terms it states; (2) this Data License Agreement; (3) the API Terms; (4) the
General Terms. Without limiting that order, the license scope, restrictions, retention
rules, attribution terms, and liability cap of this Data License Agreement control over any
inconsistent provision of the API Terms or General Terms with respect to Licensed Data.
Intellectual property, acceptable use, disclaimers, and dispute resolution otherwise remain
governed by the API Terms and General Terms.

1. Definitions

1.1 "Order" means the commercial terms of Customer's Data License subscription as
recorded at checkout and in the records of our payment processor, including the Plan, the
subscription price, any introductory discount, and any attribution election.

1.2 "Plan" means the Data License plan in the Order: Data License: Essentials or Data
License: Premium.

1.3 "Licensed Datasets" means the datasets listed for Customer's Plan in Schedule 1.

1.4 "Licensed Data" means the data returned to Customer by the SentiSense
API from the Licensed Datasets, including the underlying records and values (such as
dates, transactions, holdings, and disclosures) and the SentiSense Data and
Derived Analytics, as those terms are defined in the API Terms, delivered with them. Data
returned by the API outside the Licensed Datasets is governed by the API Terms alone.

1.5 "Customer Application" means the software application, website, or service that
Customer owns and operates, identified at acceptance or later in writing to
support@sentisense.ai, in which Licensed Data is presented to Customer's end users.

1.6 "Display Use" means presenting Licensed Data to end users within the user interface
of the Customer Application, whether as individual records and values, or as charts,
tables, alerts, analytics, scores, or text derived from it, including through an AI
assistant or agent feature of the Customer Application that answers its end users'
questions.

1.7 "Bulk Redistribution" means making Licensed Data available to any third party as
data rather than through Display Use, including through an API, data feed, file export or
download, published dataset, or bulk-access feature, or by resale, sublicensing, or
syndication.

2. Data License Plan

2.1 Access. A Data License plan provides access to the SentiSense public API
with the features of the PRO tier, at a request-rate allowance of up to 2,000 API requests
per minute per account unless the Order states otherwise. The allowance is a maximum, not a
committed throughput. Data License plans carry no availability commitment or service
credits.

2.2 Support. Data License plans include email support at support@sentisense.ai on a
commercially reasonable efforts basis. Response times are targets, not service levels.

2.3 Changing plans. Customer may move between Plans at any time. A move to Data
License: Premium adds its Licensed Datasets from the time the change takes effect. A move to
Data License: Essentials, or to any plan that is not a Data License plan, ends the license for
the Licensed Datasets that are no longer covered, with the effects in Section 6.3 applying
to that data.

2.4 Roadmap. Descriptions of planned datasets, coverage, or features, wherever
published, are informational statements of intent, not contractual commitments.

3. Fees and Term

3.1 Fees. Customer will pay the subscription fees stated in the Order, billed monthly
in advance through our payment processor. The standard rates under this version of the
Data License Agreement are $300 per month for Data License: Essentials and $1,000 per
month for Data License: Premium
. Any introductory discount, and its duration, are stated in
the Order. An introductory discount stated as lasting for the life of the subscription
continues for as long as the subscription remains continuously active; if the
subscription ends and Customer subscribes again, the then-current rate applies.

3.2 Rate changes. Customer's rate does not change during the first twelve (12) months
of a continuously active subscription. After that, we may increase the standard rate
applicable to Customer by no more than ten percent (10%) in any twelve (12) month period,
by notice given at least thirty (30) days before the change. Expiry of a discount that the
Order states as time-limited is not an increase for the purposes of this Section.

3.3 Term and cancellation. The subscription runs month to month and renews
automatically each billing period until cancelled. Customer may cancel at any time from
the account settings, effective at the end of the current billing period. Except as stated
in the General Terms (including its money-back guarantee, where applicable) or required by
law, fees are non-refundable, including for partial billing periods.

3.4 Taxes. Fees are exclusive of applicable taxes, which are Customer's responsibility,
excluding taxes on our income.

3.5 Promotional access. Any promotional access to a Data License plan that we provide
is governed by the General Terms, and this Data License Agreement, including Section 4,
applies during it.

4. License

4.1 Grant. Subject to Customer's continued payment of fees and compliance with this
Data License Agreement, SentiSense grants Customer a limited, non-exclusive,
non-transferable, non-sublicensable license during the term to:

(a) retrieve Licensed Data through the API;

(b) make Display Use of Licensed Data in the Customer Application, including for
commercial purposes and in products offered to the public for a fee; and

(c) create Customer's own analytics, scores, signals, and other outputs from Licensed Data
and make Display Use of them. Customer owns those outputs to the extent they do not
reproduce Licensed Data.

4.2 Relationship to the API Terms. The license in Section 4.1 applies notwithstanding
Section 4.1(d) (Raw Data Resale) and Section 5.3 (SentiSense Attribution) of the
API Terms, with respect to Display Use of Licensed Data. All other provisions of the API
Terms continue to apply, including the restrictions on content aggregation, source content,
and extraction of the SentiSense Ontology.

4.3 Storage. Customer may store Licensed Data for as long as reasonably needed to
operate the Customer Application, including keeping earlier values that the API has since
superseded, so long as stored Licensed Data is used only for Display Use and the Customer
Application's own operation and remains subject to this Data License Agreement.

4.4 Restrictions. Customer must not, and must not permit any third party to:

(a) engage in Bulk Redistribution of Licensed Data;

(b) use Licensed Data to build, or to assist a third party in building, a product, service,
or dataset that substitutes for the SentiSense API;

(c) use Licensed Data to train or fine-tune any machine learning or artificial intelligence
model, or permit a model provider to retain Licensed Data beyond the transient inference
performed to generate a permitted Display Use. Search indexes and retrieval stores used only
to generate Display Use within the Customer Application are permitted;

(d) share API credentials outside Customer's organization, or combine accounts to exceed
the request-rate allowance; or

(e) circumvent, or attempt to circumvent, the request-rate allowance or any other technical
control. The request-rate allowance is a technical enforcement of this Section, and
circumvention attempts are a material breach.

4.5 Third-party data. Some Licensed Data is obtained from third-party data providers,
including earnings dates and estimates, market prices, company fundamentals, and analyst
data. Market prices, company fundamentals, and analyst data may be displayed only as part of
the Display Use of other Licensed Data, and not as a standalone quote, fundamentals, or
analyst-data service. If a provider's terms require it, we may restrict or withdraw Display
Use of the affected data on notice. If a withdrawal materially reduces the Licensed Datasets
of Customer's Plan, Customer may cancel and receive a pro-rated refund of prepaid, unused
fees, which is Customer's sole and exclusive remedy for the withdrawal.

4.6 Attribution discount. Attribution is optional, and no Customer is required to
display it. Where Customer elects attribution and the Customer Application displays
"Powered by SentiSense" with a hyperlink to https://sentisense.ai, on or
reasonably adjacent to the screens where Licensed Data is displayed, Customer's subscription
fee is reduced by twenty-five percent (25%) off the otherwise-applicable rate, including any
introductory rate, for each billing period in which attribution is displayed. The election
and the reduced price are recorded in the Order. If attribution is absent and is not
restored within fourteen (14) days of notice, the reduction ends for subsequent billing
periods; that prospective end is the sole remedy for absent attribution, and absence of
attribution is not a failure of the license in Section 4.1.

4.7 Reservation. All rights not expressly granted are reserved. Ownership of
SentiSense Data, Derived Analytics, and the SentiSense Ontology
remains with SentiSense as set out in the API Terms.

5. Customer Responsibilities

5.1 End users. Customer is solely responsible for the Customer Application, its terms
with its end users, and the disclaimers and regulatory compliance applicable to it. Section
8.4 of the API Terms applies to any display of grades, scores, percentiles, or rankings to
end users.

5.2 Accuracy of the Order. Customer will keep the Customer Application identification
current by notice to support@sentisense.ai.

6. Suspension and Termination

6.1 Suspension. We may suspend API access for non-payment that the payment processor
cannot collect, or immediately for a material breach of Section 4.

6.2 Termination. Either party may terminate this Data License Agreement for a material
breach by the other party that remains uncured fourteen (14) days after written notice. We
may terminate immediately on written notice for Bulk Redistribution. If
SentiSense discontinues the Service or the Data License program, we may
terminate on thirty (30) days written notice with a pro-rated refund of prepaid, unused
fees as Customer's sole and exclusive remedy.

6.3 Effect of termination. On cancellation, expiry, or termination: the license in
Section 4 ends; within thirty (30) days Customer will stop Display Use of Licensed Data and
delete stored Licensed Data, except Customer's own outputs under Section 4.1(c) that do not
reproduce Licensed Data and records Customer must keep by law. Sections 4.4, 4.7, 6.3, 7,
8, and 9 survive termination.

7. Confidentiality

Each party will protect the other's non-public information received under this Data
License Agreement with at least reasonable care and use it only to perform under this Data
License Agreement. Confidential information includes non-public technical information
exchanged during integration and the identity and personal information of
SentiSense Labs LLC's members and personnel. It excludes information that is or becomes
public through no breach, was lawfully known to the recipient without restriction, was
independently developed, or was rightfully received from a third party. Either party may
disclose confidential information to its payment processor, professional advisers,
insurers, and service providers bound by confidentiality duties, and as required by law
with prompt notice where legally permitted.

8. Disclaimers and Liability

8.1 Informational purposes only. Licensed Data is provided for informational and
educational purposes. It is not investment advice, and SentiSense is not a
registered investment advisor, broker, or dealer.

8.2 As-is. THE API AND LICENSED DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT
WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, AND
NON-INFRINGEMENT.

8.3 Liability cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S AGGREGATE
LIABILITY ARISING OUT OF OR RELATED TO THIS DATA LICENSE AGREEMENT IS LIMITED TO THE FEES
PAID BY CUSTOMER IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE
DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. NOTHING IN THIS SECTION LIMITS CUSTOMER'S
PAYMENT OBLIGATIONS OR LIABILITY FOR BREACH OF SECTION 4.

9. General

9.1 Governing law and disputes. This Data License Agreement is governed by the law of
the State of California, and disputes are resolved as set out in the API Terms.

9.2 Assignment. Customer may not assign this Data License Agreement without our prior
written consent, except to a successor in a merger or sale of substantially all assets with
notice to us. We may assign this Data License Agreement to an affiliate or successor.

9.3 Entire agreement. This Data License Agreement, the Order, the General Terms, and the
API Terms are the entire agreement between the parties regarding the Data License plan and
supersede prior discussions and proposals.

9.4 Amendments. We may publish revised versions of this Data License Agreement. A
revision applies to Customer from the start of the first billing period beginning at least
thirty (30) days after we notify Customer, or earlier if Customer accepts it. The version
accepted by Customer, as recorded at acceptance, governs until then.

9.5 Notices. Notices to us go to support@sentisense.ai. Notices to Customer go to
the email address on Customer's account.

9.6 Force majeure. Neither party is liable for failure or delay in performance (other
than payment obligations already accrued) caused by events beyond its reasonable control,
including failure of infrastructure or data providers not under its control, provided the
affected party gives prompt notice and resumes performance when reasonably able.

Schedule 1: Licensed Datasets

Both Data License plans include API access at the PRO tier, so your API key is not limited to the
datasets listed for your Plan. This agreement's permission to show data to end users in the Customer
Application covers only those listed datasets. Any other data the API returns stays governed by the
API Terms; this agreement gives you no additional permission to show that data to your users.

Plan Licensed Datasets
Data License: Essentials Earnings calendar (report dates, report timing, confirmation status, and estimates); insider transactions from SEC Form 4 filings, including insider cluster analytics; institutional holdings from SEC Form 13F filings, including holder and flow analytics; congressional trades from STOCK Act disclosures.
Data License: Premium All data returned by the SentiSense public API, subject to Section 4.5.

The API endpoints that serve each dataset are listed in the API documentation at
https://sentisense.ai/docs/api under the same dataset names.
